TERMS OF USE

 Acceptance of Terms. By accessing or using this website (the “Site”), you agree to be bound by these Website Terms of Use. If you do not agree, you must not access or use the Site. These Terms apply solely to use of the Site and do not govern enrollment in any courses or educational programs, which are governed by the Rosewood Real Estate School, LLC (the “School”) Student Enrollment Agreement. The School reserves the right to modify these Terms at any time. Continued use of the Site following notice of changes constitutes acceptance.

Scope of Use; License. The Site and all content, including text, videos, graphics, software, design, and materials (collectively, “Content”), are owned by or licensed to the School. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site for personal, non-commercial purposes only. You may not (a) reproduce, distribute, or publicly display Content; (b) modify or create derivative works; (c) use Content for commercial purposes without written consent; (d) reverse engineer or scrape Site functionality; (e) use any automated means, including bots, crawlers, scrapers, or data mining tools, to access, extract, or index any portion of the Site or its Content.

Intellectual Property. All Content is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants any license or right to use trademarks, service marks, trade names, or branding except as expressly permitted in writing.

Electronic Communications Consent. By registering an account or submitting a form on the Site, you consent to receive transactional and administrative electronic communications from the School, such as confirmational notices, updates, disclosures, and responses to your inquiries. You agree that such electronic communications satisfy any legal requirement that communications be in writing. Where required by applicable law, the School will obtain separate consent before sending you marketing or promotional communications. You may opt out of marketing communications at any time by following the unsubscribe instructions included in any such message or by contacting the School directly. Opting out of marketing communications will not affect your receipt of transactional or administrative messages.

User Submissions. Any feedback, suggestions, or submissions provided to the School through the Site shall become the property of the School and may be used without restriction or compensation.

Privacy Policy Incorporation. Your use of the Site is also governed by the School’s Privacy Policy, which is incorporated by reference into these Terms.

Disclaimer of Warranties. The Site and all Content are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. The School does not warrant: (a) the accuracy or completeness of any Content on the Site including course descriptions, schedules, tuition information, curriculum details, or statements regarding licensing examination preparation or outcomes; (b) that any course or program described on the Site will remain available, unchanged, or approved by applicable state licensing authorities at the time of enrollment; (c) uninterrupted or error-free operation of the Site; (d) that the Site is free from viruses or harmful components.

Limitation of Liability. To the maximum extent permitted under law, the School shall not be liable for any indirect, incidental, consequential, special, or punitive damages (including damages for loss of profits, goodwill, or any other intangible loss) arising from your use of or inability to use the Site, even if the School has been advised of the possibility of such damages. In no event shall the School's total liability to you for any claim arising out of or related to these Terms or your use of the Site exceed the total amount, if any, paid by you to the School solely for access to the Site in the twelve months preceding the claim. This limitation applies regardless of the theory of liability, whether in contract, tort, negligence, strict liability, or otherwise.

Indemnification. You agree to indemnify and hold harmless the School and its affiliates, officers, directors, employees, and agents (collectively, “Indemnified Parties”) from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from: (a) your misuse of the Site; (b) your violation of these Terms; (c) your violation of applicable law or the rights of any third party.

Termination of Access. The School may suspend or terminate access to the Site at its discretion, including for violation of these Terms or misuse of Content.

Governing Law. These Website Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.

DMCA Policy. The School respects the intellectual property rights of others and expects users of the Site to do the same. If you believe that content on the Site infringes your copyright, you may submit a notification pursuant to the Digital Millennium Copyright Act (“DMCA”) to the School.

Third-Party Links. The Site may contain links to third-party websites, including but not limited to the Massachusetts Board of Registration of Real Estate Brokers and Salespersons, MLS platforms, and other real estate industry resources. These links are provided for convenience only. The School does not endorse, control, or assume responsibility for the content, accuracy, or practices of any third-party site. Your access to and use of any linked site is governed solely by that site's own terms and policies. The School shall not be liable for any loss or damage arising from your use of or reliance on any third-party site.

Severability. If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

Relationship to Student Agreement. These Terms do not govern enrollment, tuition, attendance, certification, or course participation, which are governed exclusively by the Student Enrollment Agreement.
